1. Acceptance of Terms & Company Information
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Licensee") and BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED ("Company", "we", "our", or "us"), incorporated under the laws of India.
By accessing our websites (brainuisolutions.com), purchasing software licenses (including SuperCalm or SuperAudit), commissioning web application development services, or enrolling in our AI Bootcamps, you agree to be bound by these Terms and our Privacy Policy.
2. Description of Services & Digital Products
BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED provides:
- Proprietary Digital Software: Including the SuperCalm calm Android launcher and SuperAudit web UX analysis tools.
- AI & Web Application Engineering: Bespoke full-stack software development, architectural design, and interface engineering.
- AI Educational Bootcamps: Professional training programs in modern AI engineering and full-stack software generation.
3. Payment Terms, Invoicing & Business Verification
All payments for software licenses, professional services, and training programs are payable upfront or according to milestone schedules agreed in formal Statements of Work (SOW):
- Business Verification & Tax Invoicing: We issue GST-compliant electronic invoices for all Indian corporate transactions. Corporate clients agree to provide authentic legal business names, registered addresses, and valid GSTIN identifiers during checkout or onboarding.
- Payment Gateways: Transactions are securely routed via certified gateways (Razorpay, Stripe, or NEFT/IMPS/RTGS bank transfers). You warrant that you have lawful authority to utilize the designated payment method.
- Taxes & Statutory Duties: Prices are exclusive or inclusive of applicable GST/sales taxes as specifically itemized at checkout or on client invoices.
4. Software Licensing & Usage Rights
When purchasing a software product (such as SuperCalm):
- 1 Device License: Grants a non-exclusive, non-transferable, perpetual personal license to activate and run the software on one (1) Android hardware device.
- 5 Phones Family Pack: Grants a non-exclusive, non-transferable perpetual household license to activate the software across up to five (5) Android devices within a single family unit.
- Updates & Maintenance: Licenses include standard feature updates and security patches for the period designated in the product offer (e.g., 1 year from activation).
Strict Product Resale Limitations: All software licenses, license keys, and digital downloads purchased through our website or authorized distributors are strictly for personal or internal household use. You may NOT resell, sub-license, rent, lease, distribute, share, decompile, reverse engineer, or commercially exploit any software license key or application binary without a prior written Authorized Reseller Agreement executed by BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED.
5. White Label Terms & Commercial Customization
Where BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED provides white-label deployments, bespoke client SaaS builds, or custom SuperAudit enterprise integrations under a formal commercial contract:
- Scope of White Label Rights: Clients granted written white-label rights may rebrand the designated customer-facing interfaces with their own logos, typography, and domain names.
- Underlying Framework & Core IP: Unless explicitly assigned under a full intellectual property buyout contract, BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED retains all underlying proprietary libraries, architectural boilerplates, core algorithms, and reusable developer tooling.
- Client Warranties: White-label operators remain solely responsible for the content, customer support, and regulatory compliance of their end-user offerings.
6. Intellectual Property Rights
All trademarks, trade names, branding assets, graphic interfaces, website design elements, animations, source code, and educational course materials remain the exclusive intellectual property of BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED. Unauthorized reproduction, modification, scraping, or distribution of our proprietary assets is strictly prohibited and subject to legal prosecution under Indian and international copyright treaties.
7. Warranty Disclaimers & Limitation of Liability
Our software products and web services are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for absolute software reliability, uninterrupted operation cannot be guaranteed due to third-party operating system updates or device variations.
To the maximum extent permitted by applicable law, in no event shall BRAINUI SOLUTIONS (OPC) PRIVATE LIMITED or its directors be liable for indirect, punitive, incidental, special, or consequential damages resulting from the use or inability to use our products or services. Our total aggregate liability shall not exceed the total amount actually paid by you for the specific software license or service during the three (3) months preceding the claim.
8. Termination of Service
We reserve the right to immediately terminate or revoke software license keys or client access if we detect fraudulent payment activities, unauthorized commercial resale, software tampering, or violations of these Terms.
9. Governing Law & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any legal dispute, suit, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Gujarat, India.
